Position SummaryWe are currently looking for associates (1-2 years PQE) to join the Financial Services Regulatory practice in our Milan office.
As well as possessing excellent academic credentials and legal knowledge, you should also be commercially-minded, with a solid grasp of the market and an enthusiasm for the cut-and-thrust of international deal-making.
Excellent oral and written communication skills will be major assets—enabling you to seamlessly manage the flow of information between practice groups, clients and stakeholders.
Regularly working in large, international and multidisciplinary teams, you should also demonstrate a collaborative approach and an ease interacting with a wide range of legal and business professionals.
Proactive and self-motivated, you should be eager to take ownership of your work product and demonstrate the skill, talent and commitment to deliver outstanding results.
Our Practice AreaOur global Financial Services Regulatory (FSR) practice provides comprehensive advice to the world's leading financial institutions, including commercial and investment banks, broker-dealers and investment advisers, nonbank lenders, sovereign wealth funds and government-owned banks, and to emerging financial services providers, including fintechs and payment companies.
We are trusted advisors, helping our clients stay informed of new regulatory initiatives, develop innovative products and services, implement and maintain effective compliance programs and controls, monitor and respond to new risks, and explore strategic opportunities in emerging markets.
Our extensive experience across a full spectrum of domestic and cross-border services, includes:
Expansion of operations - Bank and nonbank licensing options for traditional financial services providers
- Evolving licensing options and regulatory strategies for fintechs and other nonbank financial and crypto-asset services providers
- Regulation of payments, broker-dealer, investment adviser, investment fund, derivatives, underwriting and insurance mediation, and other nonbanking activities (such as crypto-asset services)
- Enhanced prudential standards, resolution planning, ring-fencing, consumer financial services, AML and internal systems and controls
- Transactional experience with new products and services, distribution arrangements, partnerships, client platform development and other services involving regulatory issues
Regulatory and legislative advocacy - Cross-border legislative/regulatory policy development
- Developing and advocating for fintech/regtech solutions
Regulatory capital solutions - Structured solutions to improve capital and liquidity ratios and to manage the balance sheet effect of changing regulatory and accounting requirements
- Capital raising, capital relief, disposal/sale of assets, including structuring of non-performing loan (NPL) and asset-backed securitization offerings
Digitization - Incorporating digital processes, products and services, including payments services
- Adopting AI-driven regtech solutions
Enforcement, investigation and supervisory - Regulatory, supervisory, enforcement and compliance inquiries/material risk reviews/gap analyses
Regulatory DisputesAdministrative and court proceedings against decisions by regulatory authoritiesDuties and AccountabilitiesYour main duties will be:
structuring, drafting and negotiating a variety of regulatory-driven transactions involving credit institutions, asset managers, insurance undertakings and other regulated operators (such as crypto-asset service providers);drafting and negotiating contractual documents (e. g.
distribution agreements, outsourcing agreements, JVAs) and corporate documentation of supervised entities;drafting regulatory filings, legal memoranda and policies concerning, inter alia , (i) domestic licensing requirements, (ii) bank and insurance capital requirements; (iii) resolution and recovery planning; (iv) bank, asset managers and insurance undertakings governance and management; (v) insurance distribution (including bancassurance); and (vi) investment fund set-up and asset management. Qualifications PQE 1-2 years, ideally up to 4 years of pre and post qualification experience working at a top Italian or an international law firm in the Financial Regulatory practiceLaw Degree obtained in Italy with excellent academic recordsCommercial and business awarenessOutstanding communication and negotiation skillsStrong time management skills, ability to stay calm under pressure when juggling multiple projectsFluency in EnglishLocation & Reporting This is a FSR Associate role based in Milan.
