Associate: M&A
Position Summary We are currently looking for associates to join the Corporate M&A practice in our Milan office.
As well as possessing excellent academic credentials and legal knowledge, you should also be commercially-minded, with a solid grasp of the market and an enthusiasm for the cut-and-thrust of international deal-making.
Excellent oral and written communication skills will be major assets—enabling you to negotiate effectively, and to seamlessly manage the flow of information between practice groups, clients and stakeholders.
Regularly working in large, international and multidisciplinary teams, you should also demonstrate a collaborative approach and an ease interacting with a wide range of legal and business professionals.
Proactive and self-motivated, you should be eager to take ownership of your work product and demonstrate the skill, talent and commitment to deliver outstanding results.
Our Practice Area Our M&A practice regularly represents Italian and international corporates in relation to domestic and cross-border transactions, as well as foreign corporates and private equity firms on their investments in Italy.
The team is one of the very few Milan based M&A teams able to provide on a one stop basis Italian, New York and English law capabilities on the ground in Milan and to offer a strong public M&A Italian law capability.
Drawing on a global breadth of knowledge and experience, we support major multinationals and leading corporations, banks, private equity funds and other visionaries to execute their largest, most complex multijurisdictional transactions.
Combining deep local market knowledge with specialist expertise across the full spectrum of legal areas and business sectors, we have been involved in some of the largest and most high-profile M&A transactions worldwide, and numerous market 'firsts'.

Duties and Accountabilities1 You will help structuring, drafting and negotiating a variety of corporate transactions (share/asset purchase agreement, shareholders' agreements, subscription agreements, joint ventures); you will advise founders, companies and board of directors on a wide range of corporate matters.
Your main duties will be:
Drafting and reviewing legal and technical documentation Conducting legal and technical research Working directly with clients Involvement in due diligence - analysis of agreements and their subsequent description Drafting legal memoranda on broad range of topics arising under commercial law and corporate law precedents Analyzing commercial and legal information Managing junior associates and graduates as a part of the team Qualifications PQE 1-2 years, ideally up to 6 years of pre and post qualification experience working at a international law firm in the Corporate M&A practice Law Degree obtained in Italy with excellent academic records Commercial and business awareness Outstanding communication and negotiation skills Strong time management skills, ability to stay calm under pressure when juggling multiple projects Fluency in English International experience a plus Location & Reporting This is a Corporate M&A Associate arole based in Milan, with potential for international travel The Firm may modify and amend any job description at any time in its sole discretion.
