Position descriptionThe European Counsel – Manager, Compliance & Privacy will play a critical role in partnering with other internal Corporate legal team members, other Corporate functions (i. e.
HR, Global Trade Compliance, and Internal Audit), as well as business and operations leaders throughout Europe, in managing and mitigating risk related to compliance regulations, information privacy, global data protection and other laws and regulations.
The role will lead the design, implementation, maintenance and/or improvement of compliance programs, policies and procedures throughout Europe and will work with all business segments/verticals/functions as needed, under the direction of Modine's Senior Compliance Counsel, to manage compliance matters globally.
This position requires solid judgment, attention to detail, ability to work in a fast-paced and changing work environment, strong interpersonal and communication skills, and change management experience.
The role will manage critical internal privacy, compliance and ethics initiatives within a "B to B" global diversified manufacturing business.
Candidates for this position must be willing to do more than offer counsel and advice – this role also requires collaboration across multiple business units to facilitate and execute on company-wide compliance obligations.
The person in this role will be expected to work with each unique business unit to streamline processes, enhance the accuracy and efficiency of compliance reporting obligations, and implement standardized approaches across business units where applicable, building consensus with stakeholders in doing so.
This role will also provide general global support in connection with the Modine Compliance & Ethics Program.
Key responsibilitiesUnder the guidance of the Senior Compliance Counsel, this position will have primary responsibility for the matters below in Europe, and will support Corporate and other regions as needed:Work collaboratively with the Corporate Compliance team, the legal, HR, internal audit and trade compliance teams, all business unit leaders, and other internal or external resources as appropriate, to identify commercial or other practices that require compliance and data privacy review, processes and procedures. Directly assist in the preparation, monitoring, integration and verification of any compliance, trade, or other regulatory documentation to be submitted to governmental and regulatory bodies.
This is a hands-on role.
The position will be responsible for the collection, preparation, and submission of compliance information on behalf of the Company. Review, implement and maintain necessary processes and procedures to support the corporate compliance and data privacy management strategies in an appropriate and timely fashion. Where appropriate, streamline and standardize processes across business units in the organization to make data privacy and compliance policies, processes and procedures easier to comply with and understand. Prioritize projects and improvements; assess and determine which changes are necessary to achieve project goals, incorporating feedback from the business and other functions regarding how and when to implement any possible changes. Build consensus among diverse stakeholders and drive collaborative decision-making processes. Facilitate communication between corporate functions (HR, legal, internal audit and trade compliance) and local European business operations. Direct and coach teams on reinforcing policy importance. Assist in the development of appropriate training, communication and reference materials and conduct training sessions, as necessary, to ensure company-wide awareness of Modine's Code of Conduct, as well as its compliance programs, policies, and standard practices. As may be requested, collaborate with local HR personnel and the Modine Sr.
Compliance and Privacy Analyst to review, assign, and manage investigation and resolution of reports to the Modine Ethics Helpline and to generate accurate and complete reports for the Company's Vice President, General Counsel and Chief Compliance Officer, Business Ethics Committee, Audit Committee, Board of Directors, and management as requested. Participate as a trusted partner and advisor in ongoing activities associated with Modine's business verticals conducting anti-corruption and sanctions due diligence; assist with monitoring new and existing business partners to support ethical business relationships and compliance with laws. Manage other compliance/privacy matters as assigned.
Required qualificationsMinimum 5 years of compliance and/or privacy experience in a multi-national corporate setting or law firm. Law degree from European-based university. Must speak Italian and English fluently. Good understanding of data privacy and other regulatory compliance laws and legal issues throughout Europe, and especially in countries where Modine has operations, including Italy, Spain, Sweden, United Kingdom, Hungary, Serbia, Netherlands and Germany (i. e.
Global Data Protection Regulation; Directive EU 2019/1937, and anti-corruption laws). Good understanding of Italian Legislative Decree No.
231/2001 and similar laws in other EU countries. Excellent written and verbal communication skills. Commitment to building strong relationships with business and corporate functional leaders throughout the company. Proven ability to listen and learn from business partners, and to work collaboratively and effectively across the organization and with third parties to create efficient and manageable Company-wide compliance policies and procedures. Flexibility to work in fast-paced, growing and occasionally unstructured work environment with changing regulatory obligations and needs. Experience in building and evolving compliance programs to fit the needs of a changing and growing business, including experience in change management. Extreme accuracy and unwavering commitment to ensuring confidentiality in all aspects of the role. High ethical and moral standards. Position may be remote, but regular travel will be required.
If remote, prefer candidates who are located within 2 hours commute of Modine's location in Pocenia, Italy. Preferred qualifications: Experience and knowledge of International trade matters (including customs and economic sanctions) and technical regulatory compliance (for example, Machine Directive, PED Directive, REACH, RoHs, POP Directive). Education requirements: Law degree from European-based universityTravel: Travel as necessary for job execution, including to meet with employees and senior management at Modine locations worldwide. If remote, estimated that travel into office locations will be required several times each month.
