Contracts Advisor
Overview / Responsibilities:
The Contracts Function focuses on all aspects of client contracts and reviews, including client tenders and contracts MOU's Bidding Agreements, Confidentiality agreements, parent company guarantees and bank guarantees, subcontracts flowdowns, support to supply chain in constractual flowdowns relevant to the procurement process.
The Contracts Team supports the Business Units in the review of contracts and related documents identifying and mirigating risks in accordance with the Contracting Policy and contract governance.
Wood is looking for an experienced contract administrator to support Contracts Function based in Milan in contract management activities for the Milan office and Branch offices.
The Contracts Advisor will work as part of the commercial department, supporting proposal and, if needed, also post-awards matters related to contracts.
The main features and competencies include:
**Contract administration
- Drafting, review and negotiation of terms and conditions of contract documents and analysing drafts proposed by clients in the energy, oil and gas, chemical, pharma, infrastructure and construction industries
- negotiating global MSA, under supervision of Head of Contracts / Manager of Contracts
- Preparing and discussing comments to the contracts in compliance with the internal Contracting policy and prepare risk analisys and other documents required by the contract governance policy of Wood
- Liaising with all internal functions involved, as well as from external consultants, if necessary
- Drafting and commenting Parent Company guarantees and bank guarantees, ensuring participation of all internal functions involved
- Preparing and subcontract documents, and / or amendments to contracts, and of any other contractual document, in order to ensure consistent compliance with the contract provisions and with Wood internal policies
- interface with all concerned functions: tax, commercial, HR, insurance, legal, Treasury and Accounting
**Downstream assistance to Purchasing / Subcontracting
- supporting the supply chain to customise and negitiate the General and Special Contract Conditions applicable to construction contracts and the General Purchasing Conditions applicable to material supply whenever they need to be aligned with the main contract
- Supporting Subcontracts and Procurement Department during negotiation with subcontractors / suppliers
**Cooperation Agreements
- Drafting, negotiates and administration of MOU's, Bidding AGreements, Consortium Agreements, JV, or other form of association, including preparing the relevant internal request for clearance, if necessary
**Non disclosure, license and technology-related agreements
- Drafting / commenting on Confidentiality agreements, so as to maintain a uniform and consistent approach on confidentiality and IP protection, and to ensure compliance with Wood internal policies
- Drafting / commenting on license agreements where Wood acts as licensor
Skills / Qualifications:
- Bachelor degree, MS preferred
- Relevant experience within engineering or construction industries working on Oil & Gas or other heavy industrial / infrastructure projects or similar
- Demonstrable commercial skills and knowledge of contracting methods, contract forms, drafting terms and conditions etc
- Understanding of the basic principles of contracts law
- Knowledge of contracts administration and tendering processes
- Understanding of the challenges and risks associated with an effective project execution with appropriate mitigation strategies
- English fluent; Italian good
