Corporate & Leveraged Finance | Corporate Loan Origination & Acquisition Finance and Advisory Associate Corporate and Leveraged Finance (CLF) is a global business encompassing CACIB's Corporate Debt Origination activities as well as Leveraged, Telecom and Fund finance activities.
CACIB's CLF network is made of over 250 professionals based internationally in 12 locations and working across 6 different product lines.
In Milan, the team is present with 15 professionals working across Corporate and Leveraged activities, integrating Capital Structure Advisory business.
CLF Milan is one of the leading teams originating and structuring financing transactions for large corporates, mid-caps, and private equity funds in Italy, with a top-tier league table positioning and a number of Global Coordinator, Bookrunning, and Advisory mandates.
Job Summary Working within the CLF Milan team in origination, structuring, and arrangement of corporate loans, including bilateral, syndicated, and M&A-driven financings (Acquisition finance) for corporate clients within the CLF team based in Milan (both Corporate Origination, AFA, and mid-caps).
Support CLF team activity in advising clients on capital structure and rating considerations.
Key Responsibilities Research & Marketing: Participate in client reviews with senior bankers to (i) agree on marketing strategy, (ii) identify new financing (including acquisitions) and refinancing needs, as well as coordination, bookrunning, sustainability, and facility agent opportunities, (iii) originate transactions, select opportunities, and win new mandates.
Prepare presentations & recommendations for clients in cooperation with Rating Advisory, DAR, DCM, ECM, GIB (market information, credit research, rating advisory, capital structure and financing solutions, syndication strategy).
Prepare financial analysis on companies including cash-flow/sensitivity analysis and financial models with projections.
Market, benchmark, and conduct comparable analysis through Bloomberg, Dealogic, Loan connector, and internal tools.
Structuring: Propose financing structures (tranching, pricing, main covenants) and develop tailored acquisition financing solutions along with other product lines (client and market-oriented optimization of repayment/maturity profile).
Participate in negotiations with clients and other mandated arrangers for structuring credit facilities, preparation of term sheets & mandate letters.
Transaction Management: Prepare Business Opportunities Memorandum for Origination and AFA deals in coordination with Coverage and other contributors.
Prepare Transaction Requests (including credit analysis, analysis of business plans - stress cases -, debt structure, market/sector analysis).
Carry out industry analysis, company analysis, cash flow analysis.
Develop financial models including sensitivity analysis and financial projections, liaising with the risk department on formulation of stress scenarios assumptions.
Lead the preparation – with the support of Senior colleagues – of client marketing and financing advisory materials i. e. , presentations, pitch books, with the involvement of other products units (DCM, ECM, Loan Syndicate/DAR, M&A).
Liaise with Coverage, risk dept. , and Credit department throughout the credit process.
Optimize internal costs (liquidity, capital) associated with the transactions liaising with ALM teams, assess the profitability of the transaction (PI).
Review and analyze Due Diligence Reports (Financial, Commercial, Tax, Technical, Legal, etc. ).
Prepare waiver requests and amendments.
Actively support Senior members of the team in the origination and execution of the deals.
Support in reviewing the legal documentation required in the Commitment and Syndication process (commitment letter, term sheet, mandate letters, facility agreements, etc. ).
Coordinate (when CA CIB is appointed as Coordinator), Supplementary Information.
Legal and Regulatory Responsibilities Comply with all applicable legal, regulatory, and internal Compliance requirements, including, but not limited to, the Milan Compliance manual and Compliance policies and procedures as issued from time to time; Financial Security requirements, including, but not limited to, the prevention of Financial Crime and Fraud including reporting obligations to the Money Laundering Reporting Officer.

Key External Contacts Clients, Other Banks, External Lawyers.
Academic Qualification / Specialty MsC in Economics and Finance.
Level of Minimal Experience 3-4 years.
Experience The candidate should have 3-4 years of investment banking experience including some exposure to the financing side of the business (e. g. , structured/leverage finance, loan syndication, corporate banking, M&A, credit analysis, etc. ).
Highly skilled in financial modeling and creditworthiness analysis.
Autonomous, self-motivated, pragmatic, and problem-solving attitude, well-organized, and self-reliant.
Proactive mood and multitasking capability e. g. , delivery of outstanding works while meeting tight deadlines is key.
Ability to critically analyze large amounts of information and attention to detail.
Strong cooperation attitude and flexibility to adapt to rapidly changing and challenging working environment.
Coaching of more junior resources.
Some experience of client relationship is appreciated.
This position requires flexibility in terms of working hours (depending on the deal flow).
Required Skills The candidate should have excellent interpersonal skills to build strong working relationships with CLF colleagues, coverage officers, CA CIB product teams, as well as with external counterparties.
Languages: Fluent communication skills in English and Italian are mandatory - knowledge of French is a Plus.
