Expert In Legal Due Diligence And Contracts (Epc & Logistics)
We are seeking a highly skilled and experienced Expert in Legal Due Diligence and Contracts to join our team, specializing in Engineering, Procurement, and Construction (EPC) contracts and Logistics Operations.
The ideal candidate will have deep knowledge of legal frameworks related to large-scale infrastructure projects, supply chain management, and contractual negotiations within the EPC and logistics sectors.
A) Key Responsibilities : Legal Due Diligence Conduct comprehensive legal due diligence on EPC and logistics projects, ensuring compliance with relevant regulations, contracts, and applicable legal frameworks.
Review, analyze, and assess risks related to third-party contracts, performance guarantees, and other commercial agreements.
Identify and mitigate potential legal risks related to construction projects, logistics operations, and supply chain agreements.
Work closely with internal teams to identify legal issues and provide actionable recommendations for risk mitigation.
Contract Management & Negotiations Draft, review, and negotiate complex EPC contracts, including construction, procurement, and logistics agreements.
Develop, implement, and manage contract templates, policies, and procedures for EPC projects and logistics contracts.
Advise on contract modifications, amendments, and disputes, ensuring that both parties fulfill their obligations.
Provide legal counsel during contract negotiations, focusing on risk allocation, liabilities, and ensuring favorable terms for the organization.
Regulatory & Compliance Monitor and stay updated on local, national, and international laws and regulations impacting EPC and logistics operations.
Ensure that all projects and contracts comply with industry standards and legal requirements.
Develop strategies to ensure full legal and regulatory compliance across all stages of the project lifecycle.
Project & Stakeholder Management Collaborate with project managers, procurement teams, and other stakeholders to ensure contractual obligations are met.
Assist in dispute resolution processes by providing legal insight and managing negotiations.
Coordinate with external counsel when required, ensuring alignment with company objectives and risk management strategies.
Risk Management Identify potential legal, financial, and operational risks associated with EPC and logistics contracts and recommend strategies to mitigate them.
Draft risk management policies to address complex situations, including force majeure events, delays, and supply chain disruptions.
Proactively address emerging risks in contracts and provide guidance to senior management on strategic decisions.
B) Qualifications : Education : A law degree from an accredited institution; additional certifications in construction law, logistics, or project management are a plus.
Experience : At least 5-7 years of legal experience, with a focus on EPC contracts, logistics, construction law, and/or large-scale infrastructure projects.
Proven expertise in reviewing, drafting, and negotiating contracts in the EPC and logistics sectors.
In-depth understanding of regulatory frameworks, compliance requirements, and risk management in the construction and logistics industries.
Skills : Excellent analytical, communication, and negotiation skills.
Strong attention to detail, with the ability to manage multiple priorities and deadlines.
Proficiency in using legal and project management software.
Ability to work independently and as part of a team.
Fluency in [language(s)] (if applicable).
preferred Skills : Knowledge of international legal frameworks and cross-border contracts.
Experience in dispute resolution, including arbitration and mediation in the EPC or logistics space.
Familiarity with industry standards and other relevant construction and logistics regulations.
