- RINA is currently recruiting for a **Global Legal Counsel** to join its office in Genoa (Italy) within the Global Tender & Procurement Legal Support Division.
**Mission
- As the Global Legal Counsel at RINA S. p. A. , you will play a key role in providing strategic legal advice, managing legal risks, and ensuring compliance with laws and regulations to support our global operations and business objectives.
**Key Accountabilities
- **Legal Advisory**:
- Provide expert legal guidance and support to various departments and business units.
- Advise on legal implications of business strategies, initiatives, and operational decisions.
- Conduct legal research and analysis on complex legal issues.
- **Contract Management**:
- Draft, review, and negotiate a wide range of contracts and agreements.
- Ensure contracts comply with legal requirements and company policies.
- **Compliance Oversight**:
- Monitor and ensure compliance with applicable laws, regulations, and internal policies.
- Develop and implement compliance programs and initiatives.
- **Risk Management**:
- Identify legal risks and propose strategies to mitigate them.
- Assess potential liabilities and provide proactive solutions.
- **Litigation Management**:
- Manage litigation matters, including liaising with external counsel and overseeing legal proceedings.
- Develop strategies for dispute resolution and settlement negotiations.
- **Corporate Governance**:
- Advise on corporate governance matters and ensure adherence to corporate governance standards.
- Support Board meetings and prepare legal documentation related to corporate governance.
**Education
- Master's Degree- Professional Certificate in Law**Qualifications
- Minimum of 5 years of experience practicing law, preferably in a global company or law firm.
- In-depth knowledge of **administrative law and public procurement regulation** is mandatory.
- Capability to provide legal advice on the analysis of calls for tender and check required tender documentation.
- Capability to draft and support the negotiation of Joint Venture (JV) agreements, grouping agreements, and service agreements.
- Knowledge of corporate law, commercial law, contracts, and regulatory compliance is a plus.
- Fluency in Italian and English.
- Strong analytical and problem-solving skills.
- Excellent communication and negotiation skills.
- Ability to work independently and collaboratively within a team.
- High level of professionalism, integrity, and ethical standards.
- Experience in managing and supervising legal matters across multiple jurisdictions is an advantage.
