What it's about For this position, we are looking for an investment fund lawyer for our Milan office focusing on commingled fund structures and separate accounts.

The candidate should be a lawyer qualified to practice in Italy and either in Luxembourg or the US.

Partners Group's structuring team is responsible for developing innovative investment fund structures for institutional and private investors globally.

Structuring professionals regularly interact with the firm's client relationship management, investment and operations teams, as well as with clients, external professionals and regulators.

Representative projects include the design, formation and negotiation of customized separate accounts, the establishment of fund vehicles (limited partnerships and other investment funds), the review of regulatory frameworks (AIFMD, MiFID II, etc.

), and participation in marketing meetings.

Main responsibilities: Efficiently manage complex structuring projects from a legal, regulatory, operational and project management aspectLead the design, formation and negotiation of customized separate accounts for leading international institutional investorsLead client conversions for investments in commingled funds (i. e. , negotiate terms with client's counsel, draft side letters, etc.

)Draft and/or review documentation relating to a variety of fund structuresAssume responsibility and ownership for select funds and separate accounts, including maintenance and related processes and proceduresDevelop set of skills and general Partners Group know-how, particularly relating to Structuring service catalogue and relevant interfaces with (operational) teamsResearch legal and regulatory considerations relevant to specific clients, products and jurisdictionsInstruct and manage external legal advisors and other service providersWhat we expect: Lawyer qualified to practice in Italy and either in Luxembourg or the US with 6+ years of relevant work experience at a top law firm, bank or asset manager (preferably focused on private markets investments)Familiarity with latest regulatory developments shaping the private markets industry, in particular in Italy and more generally in EuropeExperience forming different fund structures, including in Italy and other EU and non-EU jurisdictionsExperience working with and negotiating with institutional investors, including pension plans, insurance companies, sovereign wealth funds and banksStrong English contract drafting skillsSelf-motivated and proactive individual with strong desire to learn and succeedExcellent analytical, interpersonal and project management skills to manage multiple projects at any one timeAbility to effectively communicate complex topics with both internal and external partiesKnowledge of global fund jurisdictions, including Italy, Luxembourg, Delaware and Cayman Islands, and fund structures for private equity, private real estate, private debt and private infrastructure which may include limited partnerships, LLCs, corporate entities, trusts, REITs, rated note funds, etc. Able to consider varying tax considerations in determining appropriate fund structuresAble to manage external counsel and meet ambitious fund formation timelinesProficient in reviewing and signing off on legal documents for more junior professionalsAbility to work with a successful sales team on new fund strategiesWhat we offer: Partners Group is a global financial institution that retains the culture, pace and agility of a start-up.
