Junior Legal Specialist
Within the Group The Human Safety (THSN), we are currently looking for a highly motivated candidate with at least one year of experience in the corporate legal field. The candidate will deal with legal and corporate governance activities concerning THSN initiatives within the Generali Group and THSN Foundation, with frequent interaction with the Generali Group Head Office functions and the Generali Legal Entities at a global level.
Location would usually be in Rome, Milan, Trieste, or Venezia.
Key responsibilities of the role will include:
ContractDraft contracts with THSN partners, ensuring interaction with functions involved in the process at Generali Group Head Office level. Draft (from scratch or based on existing templates and standards), review, and analyze a broad range of contracts (such as grant agreements, LoI, memorandum of understanding, NDA, partnership agreements, brand licenses agreements, Supply and Services agreements, etc). Draft post-agreement documents (letters, addendum/amendment, etc). Foundation BodiesFull management and preparation of THSN Foundation Bodies (Board of Directors, Surveillance Body, Supervisory Board) in alignment with the relevant functions, tailoring the documents and details. Preparation of documents for Assicurazioni Generali S. p. A. board meetings where THSN is involved. Surveillance Body under 231/2001 lawCoordination of THSN Surveillance Body activities, updating the Surveillance Body on the perimeter of THSN activities in relation to the impact on the Organization and Management Model, acting as the 231/2001 Dlgs. focal point. Due DiligenceFirst level of compliance controls performing the due diligence on all THSN partners. The screening is performed using dedicated tools (Dow Jones and Factiva), and the outcomes are evaluated on a case-by-case approach; support/monitor Group Legal Entities to perform the due diligence at the local level. Group RegulationsAdoption/implementation of the Group internal regulations (policies, guidelines, technical measures) at THSN level. Draft/review of Group internal regulations to be adopted, ensuring the process with the functions involved at the Group Head Office level. Lead and coordinate the local THSN non-profit organization on the adoption and implementation of the Group Internal Regulations in the perimeter of THSN at the local level. Legal AdviceLegal support, advice, and consulting about all THSN relevant initiatives in Venice, analyzing case by case, draft/review of contracts. Risk AssessmentEnsure the risk assessment for THSN Foundation within the Group perimeter, monitor the deployment of the risk assessment at the local level where THSN non-profit organizations (NPOs) are in place under the Taxonomy project. GDPRCooperation with the Data Protection Officer (DPO) of THSN to analyze the privacy implications of THSN activities. Act as focal point for privacy activities. Finalize the resolutions, draft contracts (e. g. , DPA). Keep updated the Data Treatment Register. FundraisingSupport the Group Legal entities on local THSN NPOs establishment process to run a transparent, traceable, and auditable fundraising activity and monitor the NPOs' activities after the establishment. Our ideal candidate will meet the following requirements:
Law graduate. At least one year of previous experience in the legal field in other corporate companies or entities (e. g. , compliance, privacy, corporate affairs, 231 D. Lgs. , regulatory, AML, etc. ). High level of English (C1 level) in English and Italian. Excellent knowledge of PowerPoint and Microsoft Office. Ability to deal with digital user experience. Excellent oral and written communication skills. Soft skills:
Flexibility and ability to prioritize. Team worker, demonstrating a strong motivation for purpose-driven activities, and a clear doer mindset. Must be able to work under constant deadlines and manage multiple projects. Attention to detail as well as to technological innovation and principles aimed at pursuing sustainable business development.
