MISSION

Within the Legal Team, provides general legal advice and support to the HQ and its foreign subsidiaries on various legal matters, including general corporate issues, commercial contracts, and compliance.

Produce high-quality legal analysis/drafting work in a flexible fast-paced environment.

**KEY ACTIVITIES

- Negotiating, drafting and advising on a wide variety of commercial contracts (both domestic and international) with the ability to capture complex legal and business concepts in a clear, concise, and easy-to-understand manner to collaborate with numerous internal functions, including sales, procurement, operations, R&D, finance and asset/facility management.

- Advising on general corporate matters in multiple jurisdictions, including corporate governance issues; drafting/reviewing corporate documents, including board minutes, shareholders' resolutions and by-laws.

- Advising on cross-border corporate transactions, including mergers, acquisitions, divestitures and joint ventures, as well as real estate transactions.

Advising on all regulatory compliance issues (including Law Decree 231/2001 and GDPR), providing day-to-day compliance advisory support to the business and managing compliance related issues in conjunction with the relevant internal functions.

**REQUIREMENTS

- Past experience in similar roles (3-5 years)

- Admitted to the practice of law in Italy (Bar admission)

- Corporate Governance and Commercial Transactions knowledge

- Regulatory compliance knowledge

- Project management

- English speaking and writing ability
