**LEGAL COUNSEL**:

We are looking for a Legal Counsel.

She/he shall ensure that both legal support and policy are consistently and effectively deployed across the business, that contractual risks are under control and that SYSTRA's operating needs are met.

The Legal Counsel will assist and cooperate with SYSTRA SWS Legal Dpt.

in providing legal counselling related to a wide range of legal and regulatory matters for SYSTRA SWS.

After a period of induction with the former head of Legal Dpt. , the Legal Counsel will report to the managing director of SWS, as its direct hierarchical report.

On a functional basis he/she will to the Senior legal Counsel in charge of Italy based in Paris Group Legal VP.

He/She to ensure that:

both legal support and Systra Group policies are consistently and effectively deployed

contractual risks are under control while SYSTRA's operating needs are met.

SYSTRA's activity involves the performance of administrative formalities, and the Legal Counsel must be fully involved in this part of his mission.

She/he will be "hands on", required to think out of the box and strategically, using legal background and exercising strong practical judgement.

YOUR RESPONSABILITIES

As a part of the Global Legal Team, she/he will be part of the legal function and, if required, work with the Senior legal Counsel in charge of Italy based in Paris Headquarter, offering a genuine support on several matters such as compliance policy's respect, review potential litigation cases, legal and administrative duties of SYSTRA in Italy and in other countries where Systra SWS operates.

She/he will provide legal advice and analysis on the full range of issues (mainly contractual and litigation) arising in the countries where Systra SWS performs its activities.

She/he will draft and advise on a wide range of contracts and agreements with respect to SYSTRA SWS's worldwide projects and related activities.

Maintain records for correspondence and documentation in relation to established Contracts and those in progress

She/he will support contract negotiations through.

She/he will act as a key focal point for internal and external parties to the contractual negotiations and, as the case may be, contract performance.

She/he will deal with internal clients and operational teams, clients, consortium partners, subcontractors, as the case may be, and their legal advisors, senior management on a day-to-day basis.

She/he will understand and extensively know the active projects and the tenders in preparation.

Provide an advisory service to internal stakeholders and challenge legal matters though risks identification and mitigation advice.

Offer support to other members of the legal department.

Engage with management to meet goals and ensure adherence to important corporate and regulatory policies though training.

Provide support for the implementation of all the compliance procedure as required by Group policies or by law;

If required, Liaise with local insurance brokers for projects and tenders.

If required, Draft legal notices of dispute cases.

Engage with the team to meet goals and ensure adherence to important corporate and regulatory policies through training.

She/he will monitor and supervise the work of one in house counsel based in Italy.

Participate to the Systra Group legal network.

PROFILE REQUIREMENTS

Admitted as a solicitor in Italy is an advantage

Law Degree (LLM or PHD)

Fluent in Italian (written and spoken)

Fluent in English (written and spoken)

French is not mandatory but would be appreciated

Knowledge of Italian public procurement rules, engineering contracts and EPC contracts is mandatory

Experience in Design and Build projects

Previous experience in a legal position

Proven experience of negotiating and drafting contracts and

transaction documents

Previous experience in an international environment

Extensive experience of minimum 4 years

Ideally a prior in-house experience with an engineering and/or

construction company preceded by law firm experience is

preferred.

Previous experience in either construction, transport or

engineering sectors is a must.

Previous management experience is appreciated.
