LEGAL COUNSEL - ITALY
JLL is a leading global real estate advisory firm. An exciting opportunity exists for a commercially minded lawyer to join our Italian branch to oversee the legal aspects affecting our business and contribute to the firm's success.
MAIN OBJECTIVE OF THE ROLE
Provide legal and compliance support to the Italian structure of JLL and Tétris (with global reach, supporting and ensuring compliance with laws, internal policies, and good ethics), and provide legal advice to management in relation to all aspects of corporate and commercial law, real estate business, and design/construction projects.
TEAM STRUCTURE
Reporting to the Head of Legal & Compliance of Italy, this role combines the excitement of working alongside the business team with the support structure of the EMEA Legal and Compliance Team.
ACCOUNTABILITIES
Managing commercial legal and compliance activities.
Maintaining standard documentation for all JLL business lines, with a focus (although not exclusive) on design / construction businesses, including but not limited to: clients proposals and contracts, mandates, construction contracts and subcontracts, confidentiality agreements, contracts and purchase orders with third-parties services and goods providers.
Preparing, negotiating and reviewing commercial and construction contracts for key deals.
Reviewing contracts with subcontractors/vendors, local and foreign, and external professionals
Advising and otherwise supporting (best practices, standard documents, pitch material, PR, marketing) on legal matters both business and other corporate functions.
Managing, monitoring and advising on litigation matters with clients, suppliers, employees, and coordinating external legal specialists when required.
Coordinating outside counsels
Maintaining commercial registry and other company secretarial documentation; managing company law legislation and all the connected requirements, including but not limited to: calling of the management boards, appointment and revocation of directors, lodging of legal documents, etc.
Ensuring compliance with all the internal policies including the firm's Ethics programme.
Training all other company's functions and business lines on legal and compliance matters.
REQUIRED QUALIFICATIONS AND EXPERIENCE
Legally qualified with at least six years' experience either as a legal counsel in multinational corporations with direct involvement in the business, or alternatively as a lawyer in international law firms
Knowledge and understanding of construction law and construction business.
Strong personal communication and organisational skills.
Good business judgement and ability to analyse situations and information.
Ability to create legal defensive or proactive strategies.
High level of professional ethics and personal integrity.
Team oriented.
Track record of building productive cross-functional relationships.
Professional experience in construction law, commercial law, real estate and contract law
Knowledge of employment law is a plus.
Fluent in professional English both written and spoken.
