_IN-HOUSE COUNSEL_**:

MAIN FUNCTIONS AND ACTIVITIES_**:

1) negotiation and drafting of contracts and agreements, namely construction contracts (EPC, BOP, engineering agreements etc.

), supply agreements, joint development agreements, O&M contracts and development service agreements;

2) negotiation, drafting and advise on real estate, in particular, land lease agreements and land purchase agreements;

3) negotiation and advise on joint venture agreements, shareholders agreements and consortium agreements;

4) M&A transactions: due diligence of renewable projects, share purchase agreements, asset purchase agreements and other ancillary arrangements

5) general advice of corporate matters;

6) general advice in legal matters;

7) supervision and reporting of legal proceedings

8) management of external advisors and legal firms.

SKILLS, KNOWLEDGE & EXPERIENCE_**:

No less than 5 years of experience in a law firm or as in-house counsel in the legal department of a company, preferably in energy sector (in particular, renewables business).

The main practices would be corporate, commercial contracts and real estate.

**MINIMUM CRITERIA (EDUCATION, EXPERIENCE, LANGUAGES)**:

Bachelor Degree in Law

5 years experience (see above)

Fluent in English Language (written and oral)
