The Senior Legal Advisor will provide support in the delivery of reliable, accurate, timely and well-informed advice to the Departments and the Management Committee on legal issues and the potential legal implications of various company strategies and business initiatives and projects.
It will work as preferred business reference for specific businesses for which he/she will guide end-to-end negotiation to ensure contract closing in favor of the company.
The position encompasses legal services, analysis of legal risks and legality assurance to the Legal & Compliance Director, including compliance with all legislative requirements related to: anti-corruption/anti-bribery, legislative decree 231/01, fair competition and antitrust legislations, local regulatory requirements, data protection, privacy and all other relevant local business standards and industry regulations.
YOUR ROLE Ensure internal procedures and processes alignment to the Country specific legislation and jurisprudence, activating necessary updates when major regulations shifts occur. Cooperate with Departments to validate the legal feasibility of initiatives, evaluating impacts and assessing risks for the Company, stakeholders, employees and customers. Determine the advisability of proceeding to defend or initiate legal proceedings arising from the Company operations in Italy. Prepare all types of contracts, agreements, user terms and conditions whether in commercial, marketing, human resources, operations and finance sectors and lead negotiations with external parties based on the company priorities. Assess due diligence risk and propose risk mitigation plans with a particular focus on Legal and Compliance matters, including analyze risk assessment metrics and prepare dedicated reports. Assess adequacy of processes and internal controls and design and implement process improvements in response to gaps on all aspects related to legal and regulatory compliance. Create guidance and training materials in relation to the Company's code-of-conduct, compliance, anti-corruption & anti-bribery laws, penal code and legislative decree 231/01. Support policy, procedure, and template preparation related to privacy, GDPR, and data protection agreements in an international environment. REQUIREMENTS A minimum of 6-8 years of legal experience with corporate or commercial law in law firms or corporations in an international business environment, with a strong focus on Business-to-Business corporate environment, are required.
A previous experience in the Fast Moving Consumer Goods (FMCG) industry within a complex/international corporate environment will be considered a strong plus. Law Degree required.
The ideal Legal & Compliance resource must have obtained the required authorizations to practice law in Italy.
Post graduate masters / certifications in addition to Law will be considered as a plus. Fluent Italian and English; knowledge of Spanish would be a plus. Microsoft Office advanced knowledge (Microsoft Excel, Word & PowerPoint in particular) and knowledge of legal database required.
