JOB DESCRIPTION We are currently seeking a Senior Legal Counsel reporting directly to the Rome Operating Center Legal Director to join the team based in Rome, Italy. About The Role: To provide wide-ranging legal counseling to the business and operations activities of the relevant Operating Center through pro-active and effective legal support. The Senior Legal Counsel, by having excellent drafting and negotiation skills and business sense, shall cover tender reviews, contracts qualifications, active contracts negotiations, preparation and negotiations of partnership agreements (e. g. JVs and Consortia) as well as providing support, in coordination with the other relevant functions, to insurance, trade control and anti-corruption compliance activities and dispute resolution and litigation matters. In addition, the Senior Legal Counsel will also provide legal expertise and leadership to other functions and departments within the relevant Operating Center such as Procurement, Subcontracting, Finance & Tax, Administration, Tendering, etc. and advise peers and management on legal risks and business strategy. The Senior Legal Counsel shall ensure that his/her scope, as well as the activities of the Operating Center to which he/she participates, are carried out in compliance with the applicable Company rules and standards and shall be responsible to champion and implement all relevant procedures and processes to such effect. The Senior Legal Counsel shall be able to work both independently and as part of various teams and to take on special projects and assignments in addition to the daily job. Main challenges: Fast paced environment Multitasking on various concurrent tenders, projects and assignments Numerous internal and external interfaces, requiring a flexible and multidisciplinary approach Work on complex energy projects, requiring proven experience on EPC type contracts and a deep understanding of their risks and mechanics, including partnering and subcontracting schemes, multi country execution, financing, insurance. Job Accountabilities : Review, qualify, draft and negotiate both simple and complex contracts with domestic and international clients as well as other types of agreements such as joint bidding agreements, joint venture agreements, consortia and other types of contractual documents and agreements used in the oil & gas and energy industry in compliance with the Company contracting principles. Participate to and/or lead contracts negotiations with clients and partners. Act as business partner vis a vis peers and management both within the legal function and other areas of the BU and the broader Company, providing legal advice and support, anticipating and managing legal risks associated with the business strategy and operations. Ensures claims and disputes are handled in such a way that minimizes risks and is cost effective. Provide support on ethics & compliance issues, ensuring that the Company policies and procedures are adhered to. Participate in managing litigations for the organization. Senior Legal Counsel Must Have: Law Degree 8-10 years of similar legal experience in national or international top tier contractors or clients Relevant experience in Construction or EPC Agreements Strong written (including contract/legal drafting) and oral communication skills in English Ability to deliver high-quality work under deadlines Ability to multitask Ability to work effectively with people across a wide range of levels and responsibilities Senior Legal Counsel Nice to Have: Experience in Oil & Gas industry Experience in the renewable energy sector Experience in Project Finance Whats Next?
