In 2020, Safilo Group recorded net revenues for Euro 780. 3 million. Safilo is looking for a skilled and motivatedSenior Legal Manager to support the business by carrying on the management of all legal activities connected with the corporate governance of a multinational Group.
The place of work will be Milan or Padova, where the Group's headquarters is located.
The role also implies business trips in the national territory. Key Responsibilities:
take responsibility of the Corporate Affairs for the listed company and the other Italian companies of the Group coordinating all the legal-corporate activities, including the organization of the meetings of the Boards of Directors, Committees and Shareholders' Meetings, the preparation of the relative minutes and the preparation ofthe relevant corporate documentation;manage the compliance with any company laws requirements, including in particular the regulations applicable to listed companies, and maintain high standards of corporate governance;provide legal-corporate support to the Group's top management in the context of all ordinary and extraordinary transactions (e. g.
capital increases, mergers and acquisitions, stock options plan, incorporation of companies, etc. )
working with finance and tax departments and coordinating consulting firm and other outside legal counsels;monitoring and updating the corporate governance system and related implementation; in particular:
Sustainability and ESG issues;administrative liability of entities (Legislative Decree no.
231/2001) and relations with the Supervisory Board;antibribery and anticorruption issues;compliance issues relevant from time to timemanagement of the system of powers and delegations and management of all related obligations in compliance with company regulations, policies and procedures;Negotiate and draw up contracts and documentation for the areas of competence or for matters assigned from time to time. Desired Skills & Experience:
University/MSc degree in Law;Preferably licensed to practice law;Strong knowledge of Corporate law and regulations applicable to listed companies;At least five years of experience in Corporate Department of law firms or similar role in listed companies;Excellent knowledge of written and spoken legal English;Relational skills, confidentiality and discretion, ability to work in team;Ability to work in a structured company environment, concreteness, flexibility, problem-solving attitude.
